Welcome to Caldex Media, operated by LRP Media Group LLP ("Caldex Media," "we," "our," "us"). These Terms of Service ("Terms") govern your access to and use of our paid advertising management services ("Services").
By engaging Caldex Media's services or booking a call through our website at caldexmedia.com, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use our Services.
Caldex Media provides paid advertising management services exclusively for HVAC companies. Our Services include:
We do not offer SEO, web design, content creation, social media management, email marketing, or any other services outside of paid advertising.
By engaging Caldex Media's services, you represent and warrant that:
All client engagements begin with a minimum commitment of ninty (90) days. After the initial 90-day period, the engagement continues on a month-to-month basis. Fees are agreed upon prior to onboarding and outlined in your individual service agreement. Fees may be paid monthly or as otherwise agreed at the time of engagement.
By engaging Caldex Media's services, the Client authorises us to charge the selected payment method for the agreed-upon amounts. The Client acknowledges and agrees that they are responsible for the full retainer fee, regardless of their level of participation or satisfaction with the Services.
All sales are final. No refunds, whether partial or full, will be issued under any circumstances once a billing period has commenced.
In the event a scheduled payment is missed, access to reporting dashboards and active campaign management may be suspended until the outstanding payment is resolved. If any payment remains outstanding for more than fourteen (14) days, Caldex Media reserves the right to terminate the Client's engagement and pursue collection of the remaining balance owed.
Note: Ad spend is paid directly by the Client to the relevant advertising platforms (Google, Meta). Ad spend is not included in Caldex Media's management fee.
After the initial 90-day minimum term, the Client may cancel with at least thirty (30) days' written notice prior to the next billing date. Cancellation does not entitle the Client to a refund of any amounts already paid. Upon cancellation or termination, active campaign management, reporting access, and ongoing support will be discontinued.
To enable Caldex Media to deliver our Services effectively, the Client agrees to:
All strategies, frameworks, campaign structures, ad creatives, and materials developed by Caldex Media remain the intellectual property of Caldex Media until full payment has been received for the relevant billing period. Upon full payment, ownership of campaign assets transfers to the Client. The Client may not share, resell, or distribute any materials, strategies, or frameworks provided by Caldex Media without prior written consent.
Both parties agree to keep all confidential business information shared during the engagement private and not to disclose it to third parties without prior written consent. These confidentiality obligations continue even after the engagement ends.
By providing feedback, results, or testimonials to Caldex Media — whether through email, calls, social media, or any other channel — you grant Caldex Media permission to use your name, business name, results, and the content you have shared in our marketing materials. This includes the right to feature your story across our platforms, including our website, social media, emails, and case studies. If you later request removal of your testimonial, we will make reasonable efforts to discontinue its use in future marketing materials.
Caldex Media provides paid advertising management services. We do not guarantee any specific number of leads, revenue, or return on ad spend. We do not represent or warrant that our strategies will work for every HVAC business, nor do we suggest that past client results are typical or indicative of future performance.
Your results depend on many factors outside of our control, including your service area, competition, ad spend, seasonality, and your own business operations. Caldex Media does not provide legal, financial, or tax advice, and nothing in our services should be construed as such.
To the maximum extent permitted by law, Caldex Media shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, leads, or business opportunities, arising out of or in connection with your use of our Services. In all cases, Caldex Media's total liability for any claim under these Terms shall not exceed the total amount you paid for the Services in the month giving rise to the claim.
Caldex Media may terminate or suspend your access to our Services immediately if you breach these Terms, engage in harmful or fraudulent conduct, or fail to meet payment obligations. Termination does not entitle you to any refund of amounts already paid.
These Terms shall be governed by and construed in accordance with applicable laws. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between both parties. If a resolution cannot be reached, disputes shall be submitted to binding arbitration.
By engaging Caldex Media's services, you waive any right to participate in class actions or class arbitrations.
Caldex Media reserves the right to update these Terms of Service at any time. Updates take effect upon posting to our website at caldexmedia.com/terms-of-service. Continued use of our Services means you accept the updated Terms.
